The Licensor hereby grants to Licensee a non-exclusive license to use Master Recording in the reproduction, duplication, manufacture, and distribution of phonograph records, cassette tapes, compact disk, digital downloads, other miscellaneous audio and digital recordings, and any lifts and versions thereof (collectively, the “Recordings”, and individually, a “Recordings”) worldwide for up to the pressing or selling a total of two thousand five hundred, (2500) copies of such Recordings or any combination of such Recordings, condition upon the payment to the Licensor a sum of ($14.99), receipt of which is confirmed. Additionally, licensor shall be permitted to distribute unlimited free internet downloads or streams for non-profit and non-commercial use. This license allows up to five hundred thousand (500000) monetized audio streams to sites like (Spotify, RDIO, Rhapsody) but not eligible for monetization on YouTube.
Performance Rights. The Licensor here by grants to Licensee a non-exclusive license to use the Master Recording in Unlimited non-profit performances, shows, or concerts. Licensee may receive compensation from performances with this license.
Synchronization Rights. The Licensor hereby grants limited synchronization rights for one (1) music video streamed online (YouTube, Vimeo, etc..) for up to 500000 non-monetized video streams on all total sites. A separate synchronization license will need to be purchased for distribution of video to Television, Film or Video game.
Broadcast Rights. The Licensor hereby grants to Licensee a non-exclusive license to broadcast or air the Master Recording in two (2) radio stations through two (2) station channels, respectively. The Licensee shall not be permitted to receive compensation for such broadcasting.
Credit. Licensee shall acknowledge the original authorship of the Composition appropriately and reasonably in all media and performance formats under the name” Louis Drazin (DigitalBands or DigitalBandsBeats.com)” in writing where possible and vocally otherwise.
Consideration. In consideration for the rights granted under this agreement, Licensee shall pay to licensor the sum of $14.99 US dollars and other good and valuable consideration, payable to “BeatStars.com”, receipt of which is hereby acknowledged. If the Licensee fails to account to the Licensor, timely complete the payments provided for hereunder, or perform its other obligations hereunder, including having insufficient bank balance, the licensor shall have the right to terminate License upon written notice to the Licensee. Such termination shall render the recording, manufacture and/or distribution of Recordings for which monies have not been paid subject to and actionable infringements under applicable law, including, without limitation, the United States Copyright Act, as amended.
Indemnification. Accordingly, Licensee agrees to indemnify and hold Licensor harmless from and against any and all claims, losses, damages, costs, expenses, including, without limitation, reasonable attorney’s fees, arising of or resulting from a claimed breach of any of Licensee’s representations, warranties or agreements hereunder.
Audio Samples. 3rd party sample clearance is the responsibility of the licensee.
Miscellaneous. This license is non-transferable and is limited to the Composition specified above, does not convey or grant any right of public performance for profit, constitutes the entire agreement between the Licensor and the Licensee relating to the Composition, and shall be binding upon both the Licensor and the Licensee and their respective successors, assigns, and legal representatives.
Governing Law. This License is governed by and shall be construed under the law of the State of California, without regard to the conflicts of laws principles thereof.
Term. Executed by the Licensor and the Licensee, to be effective as for all purposes as of the Effective Date first mentioned above and shall terminate exactly ten (10) years from this date.

Broadcast Rights. The Licensor hereby grants to Licensee an exclusive license to broadcast or air the Master Recording in unlimited amounts of radio stations.
Credit. Licensee shall acknowledge the original authorship of the Composition appropriately and reasonably in all media and performance formats under the name “Louis Drazin (DigitalBands)” in writing where possible and vocally otherwise.
Synchronization. Licensee may exploit and monetize from licensee’s unique derived work(s) of composition for use on TV, Film, Video game or other synchronous projects. Licensee may represent other publishing owners of the original composition for exploitation and have full authority of granting non-exclusive license for synchronization use as long as credit and publishing information is provided to such agency.
Consideration. In consideration for the rights granted under this agreement, Licensee shall pay to licensor the sum of “500.00$” US dollars and other good and valuable consideration, payable to “Louis Drazin (DigitalBands)”, receipt of which is hereby acknowledged. If the Licensee fails to account to the Licensor, timely complete the payments provided for hereunder, or perform its other obligations hereunder, including having insufficient bank balance, the licensor shall have the right to terminate License upon written notice to the Licensee. Such termination shall render the recording, manufacture and/or distribution of Recordings for which monies have not been paid subject to and actionable infringements under applicable law, including, without limitation, the United States Copyright Act, as amended.

By making a purchase of any kind, the customer declares that he will give credit to the producer where possible in a written form (cd cover/booklet, YouTube videos, social network pages such as myspace or Facebook, etc.). Proper credit is given as follows: (Example credits: ‘Beat prod. by DigitalBandsBeats.com’ or ‘Music produced by DigitalBands’ … Music © 2011 All rights reserved. Used under license. Any displayed or downloadable MP3 files must include ‘produced by DigitalBands’ within the file name.
Non-profitable performances are allowed for any license type. Profitable performances are only allowed with exclusive rights (1 show allowed within extended premium rights)! You may NOT use free download versions for public performances!
By making a payment the customer declares that he is fully aware of the terms & conditions & accepts & agrees to them. All terms & conditions are listed on the webpage www.DigitalBandsBeats.com. In case of a change in any of the listed points or should one point become invalid; all other points stay unaffected & are still valid. For this written agreement & the general legal relationship, Law is applicable. Purchases within the European Union include taxes of 22%, listed separately on the invoice under tax/MwSt. All purchases from countries which are not a member of the European Union do not include any taxes & are tax-free. If a beat contains sampled material, the sample-clearing of itself needs to be done by the customer(s), not by DigitalBands. The licensee understands that they are responsible for clearing all samples that they choose to use & that the licensor cannot & will not be held liable for the misuse of any sampled material that the licensee uses in conjunction with the original instrumental composition that is being licensed in this agreement. The licensee understands & accepts that he only paid for the production work of the producer. The licensor does not claim to have any rights on any sampled material. Under no circumstances is a customer allowed to re-sell the beat in any form. Rights that are given to a customer are not transferable. No matter if exclusive rights are sold to a beat, DigitalBands will always be allowed to use that beat for own promotional uses. Therefore, all beats sold exclusively stay on the webpage. Download & license options to that beat will be removed & the beat will be marked as ‘sold’. Customers may edit/alter the length of a beat as they see fit, as long as they own a license to the beat & do not change the sound-structure of the beat itself. No changes to a beat are allowed, except of length changes. Therefore, it is also not allowed to use any parts, melodies, instruments, sounds, drum arrangements, etc. of the original instrumental composition for other compositions. After the delivery of the beat, DigitalBands will be unbound of any further responsibilities to the customer & legally freed of any further duties. Any Beat by DigitalBands may NOT be uploaded on any website without our permission. DigitalBands is not responsible for other sites claiming to sell our beats. Anybody abusing or disrespecting the listed terms & conditions will likely face a lawsuit.
